Offshore entities: uses, advantages and challenges in an evolving global landscape’ – Michael Lebovitz (partner in Mayer Brown’s Tax Transactions and Consulting practice, based in Los Angeles), Phil Graham (global head of Harneys’ Investment Funds and Regulatory groups, based in the British Virgin Islands), and Murray Roberts (Director, United States, at Harneys Fiduciary, based on the West Coast of the US).

This session will cover a number of topics in relation to the use of offshore blocker entities in international transactions, with a particular focus on:

  • The omnipresence of offshore vehicles in the global transactional landscape: uses in cross-border joint venture, private funds, and Special Purpose Acquisition Company (SPAC) contexts
  • The offshore Economic Substance regimes three years on: what we’ve learned and how it impacts transaction structuring
  • Some of the challenges associated with blockers and the legal and tax issues that arise when blocker entities are used, particularly in the context of intervehicle agreements and investor rights
  • Crypto funds, DeFi and DAOs: structuring trends in the digital assets space
