Webinar on Planning for PRC IPOs - Lyla Wose and Richard Tsun
The phenomenon of companies owned by PRC-based families seeking to list outside the PRC has become quite common, and arranging for such listings requires a lot of preparatory work. Lyla Wose (Partner at Beijing DHH Law Firm and Richard Tsun, Partner at Fred Kan & Co, Hong Kong) will explain the pre-IPO steps within the PRC that are necessary before such a listing can take place. The speakers will explain the concept of a "red-chip structure" and compare it with a direct listing structure, and then outline the pre-IPO reorganization steps that are necessary to effect such a listing. They will explain the regulatory concerns and approvals that are required, including foreign exchange approvals from SAFE.
Taking a Hong Kong listing as an example, they will then explain the disclosures that are required concerning the PRC founders of the listed group. Finally, they will lead attendees through a case study, which will include the setting up of private trust for key shareholders and ESOP trust to hold a portion of the listed shares for the benefit of PRC-based employees.
The two speakers, who are from Mainland China and Hong Kong, have a lot of experience in acting for PRC-owned companies being listed abroad. The session will be facilitated by Ms Connie Leung who is the Executive Director & General Manager of Kylin Global Trust Limited in Hong Kong.
